TERMS OF SERVICE - PIXELMEDIAGROUP LTD

1. Acceptance of Terms
By engaging with PixelMediaGroup LTD ("Agency", "we", "us") for digital marketing services, including advertising account access/funding and lead generation ("Services"), you ("Client") agree to these legally binding Terms. Continued use of Services constitutes acceptance of any revised Terms.

2. Service Scope
a. The Agency provides:
- Access facilitation and funding solutions for advertising platforms (e.g., Google Ads, Meta Ads)
- Lead generation campaigns and related marketing strategies
b. Specific deliverables, timelines, and fees will be outlined in individual Statements of Work (SOWs).

3. Client Obligations
a. Provide accurate business information, payment details, and access to necessary platforms.
b. Ensure compliance with all platform policies (e.g., Google/Meta TOS) and local advertising laws.
c. Promptly supply requested materials (logos, brand guidelines, etc.) for campaign execution.

4. Payment Terms
a. Fees for Services are specified in SOWs/invoices. Setup fees may be non-refundable.
b. Late payments exceeding 15 days incur 1.5% monthly interest. Unpaid balances may suspend Services.
c. Third-party ad spend (e.g., platform budgets) is billed upfront or as agreed in SOWs.

5. Intellectual Property
a. Pre-existing Client IP (brand assets, data) remains Client property.
b. Campaign deliverables (reports, strategies) are owned by Client upon full payment.
c. Agency retains rights to anonymized performance data for case studies/benchmarks.

6. Confidentiality & Data
a. Both parties protect confidential information (e.g., business strategies, KPIs) using reasonable measures.
b. Client grants Agency limited rights to use its data solely for Service delivery.
c. We adhere to GDPR/CCPA principles; detailed data handling in Privacy Policy.

7. Liability & Disclaimer
a. Services are provided "as is" – no guarantees of specific lead volumes, conversion rates, or platform access approvals.
b. Total liability capped at 100% of fees paid in the preceding 6 months.
c. Excluded: indirect damages (lost profits, data breaches via third-party platforms).

8. Termination
a. Either party may terminate with 30 days’ written notice for material breaches.
b. Early termination requires payment for Services rendered plus 25% of remaining contract value.
c. Sections 4–8 survive termination.

9. Governing Law
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts in the United Kingdom.

10. Amendments
Revisions become effective 30 days after posting at Terms & conditions. Continued Service use implies acceptance.
